TERMS AND CONDITIONS OF USE
These Terms and Conditions of Use (these “Terms”) govern your access to and use of the website located at www.wpm.com, together with any related websites, pages, or subdomains operated by Western Printing Machinery Company, an Illinois corporation (“WPM,” “we,” “us,” or “our”) (collectively, the “Site”). Please read these Terms carefully before using the Site.
1. Acceptance of These Terms
By accessing, browsing, viewing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any privacy policy posted on the Site, which is incorporated into these Terms by reference. If you do not agree to these Terms, then you should not access or use the Site. You represent that you are at least eighteen (18) years of age, or that you are using the Site under the supervision of a parent or legal guardian. The Site is not directed to children under the age of thirteen (13), and we do not knowingly collect personal information from children under the age of thirteen (13).
2. Informational Purpose Only; No Offer to Sell
The Site is provided for general informational and marketing purposes only. The Site does not permit the ordering or purchase of products, and nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, a quotation, a contract, or a binding commitment of any kind. Nothing on the Site constitutes engineering, technical, safety, regulatory, or other professional advice, and you should not rely on the Site as a substitute for consultation with WPM or with your own qualified advisors. You are solely responsible for determining whether any product is suitable for your intended application, and for compliance with all applicable laws, codes, standards, and installation and safety requirements. Die cutting machinery and precision dies are industrial equipment that require proper installation, guarding, training, operation, and maintenance. Nothing on the Site is a substitute for the operating manual, installation instructions, safety instructions, or maintenance requirements furnished with a machine, or for compliance with applicable workplace safety standards. You should not rely on the Site for installation, operation, guarding, lockout, or maintenance procedures.
3. Product Information, Specifications, and Availability
Product descriptions, images, drawings, dimensions, tolerances, specifications, performance data, capabilities, certifications, lead times, and availability shown on the Site are provided for general reference only, are subject to change without notice, and may not reflect the current configuration of any product. Images are illustrative and may not depict actual products, options, or finishes. Any pricing information appearing on the Site is indicative only and is not binding. The Site may contain typographical errors, inaccuracies, or omissions, and we reserve the right to correct them at any time without notice. The only specifications, warranties, and terms applicable to any product are those set forth in a written quotation, order acknowledgment, purchase agreement, or express written limited warranty issued by WPM. No statement on the Site creates any warranty, express or implied, and no statement on the Site should be construed as modifying or supplementing any written warranty or agreement issued by WPM. Statements on the Site describing the performance, quality, capability, or advantages of WPM products are general descriptions and expressions of opinion, and are not specifications, guarantees, or warranties.
4. Availability and Modification of the Site
We may modify, suspend, discontinue, or restrict access to the Site or any portion of the Site, and may change, remove, or add content, at any time, in our sole discretion and without notice or liability to you, even if doing so prevents you from accessing information previously available on the Site. We do not guarantee that the Site will be available at any particular time, or that any content will be retained or archived.
5. Intellectual Property; Limited License
The Site and all content on it, including text, product descriptions, photographs, images, illustrations, drawings, graphics, video, audio, layout, design, software, and the selection and arrangement of the foregoing (collectively, the “Content”), are owned by WPM or its licensors and are protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws. The trademarks, service marks, trade names, and logos displayed on the Site are the property of WPM or of their respective owners, and nothing on the Site grants you any license or right to use any such mark without our prior written permission.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access the Site and to view, download, and print Content solely for your own internal, informational, and non-commercial use in evaluating WPM products. You may not otherwise copy, reproduce, republish, upload, post, transmit, distribute, sell, license, rent, modify, adapt, translate, create derivative works from, publicly display, or publicly perform any Content without our prior written permission. You may not remove or alter any copyright, trademark, or other proprietary notice appearing on the Site or on any Content. All rights not expressly granted in these Terms are reserved to WPM.
6. Prohibited Uses
You agree that you will not, and will not permit or encourage any third party to:
(a) use the Site for any unlawful purpose or in any manner that violates these Terms;
(b) use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, copy, or extract the Site or any Content, or otherwise engage in any data mining, text mining, harvesting, or systematic retrieval of Content;
(c) use any Content to develop, train, fine-tune, validate, or improve any machine learning model, large language model, artificial intelligence system, or other computational model, or to create or supplement any dataset for any such purpose;
(d) frame, mirror, or in-line link the Site, or otherwise misrepresent your relationship with WPM or the source or sponsorship of any Content;
(e) use the Site or any Content for competitive analysis, benchmarking, or the development of a competing product or service;
(f) circumvent, disable, or interfere with any security or access control feature of the Site, or introduce any virus, malware, or other harmful code; or
(g) take any action that imposes an unreasonable or disproportionately large load on the Site or its supporting infrastructure.
We may investigate any suspected violation of this Section, and we may block, suspend, or terminate your access to the Site at any time, with or without notice.
7. Third-Party Links and Third-Party Content
The Site may contain links to websites, resources, or content operated by third parties, including distributors, dealers, suppliers, and manufacturers. Such links are provided for your convenience only. We do not control, endorse, or assume any responsibility for any third-party website or content, including its accuracy, legality, or privacy practices. Your use of any third-party website is at your own risk and is subject to the terms and policies of that third party.
8. Contact Form and Submissions
The Site includes a contact form. Any information you submit through the contact form, or otherwise send to us through the Site, including any inquiry, specification, drawing, dimension, tolerance, sample description, requirement, idea, or suggestion (each, a “Submission”), is submitted on a non-confidential and non-proprietary basis, unless you and WPM have entered into a written confidentiality or nondisclosure agreement covering the Submission. WPM does not accept, and will not be bound by, any obligation of confidentiality arising from a Submission made through the Site. You grant WPM a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable right to use, reproduce, store, and disclose any Submission in order to respond to your inquiry and for WPM’s internal business purposes, and WPM is free to use any idea, concept, technique, or know-how contained in a Submission without restriction and without compensation to you. You represent that you have the right to provide each Submission, and that no Submission infringes or misappropriates the rights of any third party. If you wish to disclose confidential technical information to WPM, then please contact us so that a nondisclosure agreement can be put in place before you do so.
9. Privacy; Use Outside the United States
WPM collects the information you provide through the contact form, which may include your name, company, email address, telephone number, and the contents of your message, and uses that information to respond to your inquiry and for related business purposes. The Site may also collect standard technical information, such as internet protocol address, browser type, and pages visited, through server logs or analytics tools. 10. Disclaimer of Warranties
The site and all content are provided “as is” and “as available,” with all faults and without warranty of any kind. To the fullest extent permitted by applicable law, wpm and its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors, disclaim all warranties, representations, and endorsements of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade. Without limiting the foregoing, we do not warrant that the site or any content is accurate, complete, current, reliable, or error-free, that access to the site will be uninterrupted or secure, that any defect will be corrected, or that the site or any server is free of viruses or other harmful components. Nothing in this section limits, modifies, or disclaims any express written limited warranty issued by wpm with respect to a product actually purchased. Some jurisdictions do not allow the exclusion of certain warranties, so one or more of the above exclusions may not apply to you.
11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will wpm or its affiliates, or their respective officers, directors, employees, agents, suppliers, or licensors, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, business interruption, reputation or goodwill, data, or anticipated savings, arising out of or relating to your access to or use of, or inability to access or use, the site or any content, or any reliance on any content, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages. To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these terms or the site will not exceed one hundred u.s. dollars ($100.00). The foregoing limitations apply even if any remedy fails of its essential purpose, and will not apply to any liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so one or more of the above limitations may not apply to you. This section does not apply to any claim arising under a separate written agreement between you and wpm for the purchase of products, which will be governed by that agreement.
12. Indemnification
You agree to indemnify, defend, and hold harmless WPM and its affiliates, and their respective officers, directors, employees, and agents, from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your breach of these Terms, or your violation of any applicable law or of any right of a third party. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of that claim.
13. Governing Law; Jurisdiction and Venue These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. You and WPM agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum. To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the claim accrues, or it is permanently barred. If any provision of these Terms is held invalid or unenforceable, then that provision will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed from these Terms, and the remaining provisions will continue in full force and effect.
14. Entire Agreement; Terms of Sale Control
These Terms, together with any privacy policy posted on the Site, constitute the entire agreement between you and WPM with respect to your use of the Site, and supersede all prior or contemporaneous understandings regarding the Site. These Terms govern your use of the Site only. These Terms do not govern the purchase or sale of any product. Any purchase of products from WPM is governed exclusively by the applicable written quotation, order acknowledgment, terms and conditions of sale, purchase agreement, or express written limited warranty issued by WPM, and if there is any conflict between these Terms and any such document, then that document controls with respect to the purchase. You may also be subject to additional terms when you use certain features of the Site or the services of a third party.
15. Changes to These Terms
We may revise these Terms at any time in our sole discretion. Revised Terms are effective when posted on the Site, and we will update the “Last Updated” date at the top of these Terms. If we make a material change, then we will use reasonable efforts to provide additional notice, such as a notice posted on the home page of the Site. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms. You should review these Terms periodically. Revised Terms do not apply retroactively to any dispute that arose before the revised Terms were posted.
16. Miscellaneous
Our failure to enforce any provision of these Terms is not a waiver of that provision. You may not assign or transfer these Terms, or any right under them, without our prior written consent, and we may assign these Terms without restriction. Section headings are for convenience only and do not affect the interpretation of these Terms. The provisions of these Terms concerning intellectual property, prohibited uses, disclaimer of warranties, limitation of liability, indemnification, and governing law survive any termination of your access to the Site. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and WPM.
